Privacy Policy

The following is Rewards Network's Privacy Policy. This policy is in addition and is incorporated into the membership agreement and the terms and conditions of use of the Rewards Network Web site.

Our pledge to you, our member

Rewards Network Canada LP (referred to herein as "Rewards Network", "we," "us" and "our") respects your privacy and knows that you care how information about you is used and shared. We have prepared this detailed policy (this "Privacy Policy") because we believe you should know as much as possible about our practices so that you can make an informed decision about the extent of your use of our services, in particular your membership in the RBC Rewards® Dining Program (the "Program") and use of the Rewards Network Web site (the "Web site").

This Privacy Policy applies to our collection, use and disclosure of personal information of Program members and users of the Web site in Canada. Personal information is information about an identifiable individual as more particularly described under applicable privacy legislation. This Privacy Policy does not apply to information about our employees or to information that is not personal information.

We collect personal information in a number of circumstances in the course of administering our business, including in connection with providing services to you. Personal information we collect includes:

How We Use Your Personal Information

We use this information to provide you with the benefits available to you as a member of the Program, including for example:

Marketing Communications: Unless you opt-out, we may use your personal information to provide you with information about other of our products and services that may be of interest to you ("marketing communications"). We may send such marketing communications to you by email (including our email newsletters) or ordinary mail or may provide them by telephone. If you no longer wish to receive such marketing communications you can opt-out as described in the section entitled "Reviewing, Changing Your Information or Unsubscribing" below.

Email a Friend: You may use our Email a Friend service to send links to restaurants, clubs and bars to family and friends via email. We will automatically send a one-time email inviting your family and friends to visit the specific restaurant page on rbcrewards.rewardsnetwork.com. We store the information for the purpose of sending these emails and to measure overall response rates to these services. Your family and friends may contact us to request that their information be removed. By providing us with your friend's name and email address you represent and warrant that you have consent from that individual to provide us with this information.

We may use aggregated, demographic and statistical information for the purposes of conducting market research and improving our business. This information is anonymous and cannot be linked to any individual person.

We may also use your personal information for other purposes with your consent, or as permitted or required by law.

When and With Whom We Share Your Personal Information

We may disclose your personal information to your RBC Royal Bank credit card issuer for the purposes of providing you with Points earned under the Program on your eligible transactions at participating restaurant, clubs and bars ("Participating Merchants").

If you have requested that we make or cancel a reservation with one of our Participating Merchants on your behalf (for example, making a dinner reservation), we will share your personal information with the Participating Merchant for the purposes of making or cancelling your reservation.

We may share aggregated, demographic and statistical information with our partners, affiliates, Participating Merchants and other third parties. This information is anonymous and cannot be linked to any individual person.

We may disclose personal information to our affiliates (including outside of Canada) for internal audit, management, billing or administrative purposes including defending and bringing legal actions.

We may transfer personal information to outside agents or service providers (including our affiliates acting in this capacity) ("service providers") that perform services on our behalf, for example call centre, mailing, marketing, information technology and/or data hosting or processing services or similar services, or otherwise collect, use, disclose, store or process personal information on our behalf for the purposes described in this Privacy Policy. Some of these service providers may be located outside of Canada, including in the United States, and your personal information may be collected, used, disclosed, stored and processed in the United States or elsewhere outside of Canada for the purposes described in this Privacy Policy. We take reasonable contractual or other measures to protect your personal information while processed or handled by these service providers. While your personal information is located outside Canada it will be subject to legal requirements in those foreign countries applicable to our service providers, for example, lawful requirements to disclose personal information to government authorities in those countries.

We may disclose personal information to parties connected with the proposed or actual financing, securitization, insuring, sale, assignment or other disposal of all or part of our business or assets, for the purposes of evaluating and/or performing the proposed transaction. Our successors or assignees may use and disclose your personal information for similar purposes as those described in this Privacy Policy.

We may disclose your personal information as necessary to meet legal, regulatory, insurance, audit, and security requirements, and as otherwise with your consent or as permitted or required by law (including as required by applicable Canadian and foreign laws applicable us or our agents and service providers, and including lawful requirements to disclose personal information to government authorities in those countries).

We may also disclose or share information that is not personally identifiable to you with our affiliates, partners, merchants and others in connection with restaurant reviews or surveys that you submit to us to post on our Website or other Websites or on third–party social networking sites such as Facebook and Twitter.

When you voluntarily post or otherwise comment on any portion of a social networking site (such as Facebook or Twitter) registered by us or by any of our affiliates, partners, merchants or others, your usage of that site is governed by and subject to the privacy policy of that third party networking sites and any privacy settings that are available on that third party site. We do not control the privacy policies of such third parties and we assume no responsibility or liability for the actions of such third parties.

Operating Our Web site (Including How We Use Cookies)

When you visit our site without logging in, we may collect usage information ("session data"), but it is anonymous and is not linked to you as an individual. We may use session data for a variety of reasons, including to better understand things like how our site is navigated, how many visitors arrive at specific pages, the length and frequency of stays at our site, the types of browsers and computer operating systems used by our visitors, and the Internet Protocol addresses from which our visitors connect to our site.

When you visit our site and login, we may collect usage information ("persistent data"), that will be linked to your User Name and password. We may use the persistent data for a variety of reasons, including to monitor your use of our site in conjunction with your participation in one of our programs.

We use cookies on our Web site to collect session data and persistent data for several purposes, such as to personalize and improve your individual viewing experiences on our site. Cookies placed on your computer by rewardsnetwork.com can only be read by the rewardsnetwork.com Web server. We use two different types of cookies in our Web site:

Most Internet browsers automatically accept cookies. However, you can instruct your browser to stop accepting cookies or prompt you before accepting a cookie from the sites you visit.

Rewards Network may also use a third party to place cookies on your computer to track and analyze non-personally identifiable usage and volume statistical information from our visitors and customers to administer our Web site in order to constantly improve the Web site quality.

Clear GIFs are tiny graphics with a unique identifier, similar in function to cookies, and are used to track the online movements of Web users. The main difference between the two is that clear GIFs are invisible on the page and are much smaller, about the size of the period at the end of this sentence. Clear GIFs are not tied to users' personally identifiable information.

To help us improve visitor experience and manage site content, third party vendors and our site may utilize clear GIFs to track and analyze non-personally identifiable usage and volume information from our visitors and customers to administer our Web site or improve its quality.

Our Web site may have links to other sites on the Internet that are owned by third parties ("External Sites"), or you may come to our Web site from a link on an External Site. These other Web sites will have their own rules on privacy that you should review. Rewards Network is not responsible for the privacy policies of External Sites.

Consent

Consent to the collection, use and disclosure of personal information may be given in various ways. Consent can be express or implied (for example, when you provide information necessary for a service you have requested). You may provide your consent in some circumstances where notice has been provided to you about our intentions with respect to your personal information and you have not withdrawn your consent for an identified purpose, such as by using an "opt out" option provided, if any. Consent may be given by your authorized representative (such as a legal guardian or a person having a power of attorney).

Generally, by providing us with personal information, we will assume that you consent to our collection, use and disclosure of such information for the purposes identified or described in this privacy statement, if applicable, or otherwise at the time of collection.

Where you provide personal information about a third party, such as through the "email a friend" function, you represent and warrant that you have consent from that third party to disclose the personal information to us.

You may withdraw your consent to our collection, use and disclosure of personal information at any time, subject to contractual and legal restrictions and reasonable notice. Note that if you withdraw your consent to certain uses of your personal information, we may no longer be able to provide certain of our products or services.

We collect, use and disclose your personal information with your consent, except as permitted or required by law. We may be required or permitted under statute or regulation to collect, use or disclose personal information without your consent, for example to comply with a court order, to comply with local or federal regulations or a legally permitted inquiry by a government agency, or to collect a debt owed to us.

Data Security

We take reasonable steps to protect your personal information using physical, electronic or procedural security measures appropriate to the sensitivity of the information in our custody or control, which may include safeguards to protect against loss or theft, as well as unauthorized access, disclosure, copying, use or modification. Our authorized employees, agents and mandataries who require access to your personal information in order to fulfil their job requirements will have access to your personal information.

We use industry-standard encryption technologies when transferring and receiving consumer data exchanged with our site. We use Secure Sockets Layer (SSL) technology that encrypts information and keeps the data private and confidential between your machine and rbcrewards.rewardsnetwork.com. This technology makes it safer to transmit your credit card number over the Internet. Look for two security icons, the "s" after "http" in the address line and the lock in the top menu bar and bottom status bar of your browser in Netscape (or in the bottom status bar only in Internet Explorer).

Reviewing, Changing Your Information or Unsubscribing

We may establish and maintain a file of your personal information for the purposes described in this Privacy Policy, which will be accessible at Two North Riverside Plaza, Suite 950, Chicago, Illinois. If you wish to request access or correction of your personal information in our custody or control, you may write to the above address, attention Vice President, Assistant General Counsel and Assistant Secretary. Your right to access or correct your personal information is subject to applicable legal restrictions.

At any time you can correct or update your personal information, or unsubscribe, opt-out or modify your preferences pertaining to our newsletter and other marketing communications (whether made by email, telephone or ordinary mail) by any of the following methods:

Requests to be unsubscribed or to opt-out from marketing communications will be processed immediately; however, you may be included in the selection for additional newsletters and communications for up to one week. Delays may occur if the email address or postal address information you provide us does not match the information in our database.

To protect your privacy and security, we will take reasonable steps to verify your identity before granting access to your personal information or making corrections.

We have appointed a Privacy Office, consisting of: (1) Vice President, Information Technology, (2) Internal Audit Manager and (3) Assistant General Counsel and Assistant Secretary. Notice of Changes

This Privacy Policy was created on May 27, 2010 and amended on May [31], 2010. We reserve the right to change, modify or amend this policy at any time without prior notice.

If our personal information practices change at some time in the future we will post the policy changes to our Web site to notify you of these changes prior to their effectiveness. If you are unsatisfied with our Privacy Policy at any time, you may discontinue your use of the Web site and/or your participation in the Program. If you are concerned about how your personal information is used, we encourage you to visit our Web site regularly to view any changes in this Privacy Policy.
